Terms of Service

By accessing or using WarmKit ("the Service"), operated by WarmKit ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

WarmKit is a B2B SaaS platform that provides:

• Automated pre-call reminder emails sent from team members' own email addresses
• Automatic show-up rate tracking via Calendly webhook integration
• Source-level attribution analytics (by UTM parameters, event type, team member, and custom groupings)
• Reply visibility for reminder emails within the platform dashboard
• Call confirmation tracking and at-risk appointment identification

To use WarmKit, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or use of your account
• Ensuring that all users within your workspace comply with these Terms

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

WarmKit operates on a multi-tenant workspace model. Each workspace may have users with the following roles:

• Admin — Full access to all workspace settings, billing, team management, and data
• Manager — Access to team analytics, show-up data, reply visibility, and reporting
• Closer — Access to their own booking data, reminders, and replies

Workspace Admins are responsible for managing user access and ensuring appropriate role assignments.

5.1 Plans and Pricing

WarmKit offers subscription plans as described on our pricing page. Prices are subject to change with 30 days' notice to existing subscribers.

5.2 Billing

Subscriptions are billed on a recurring monthly or annual basis depending on the plan selected. By subscribing, you authorize us to charge your payment method on each billing cycle.

5.3 Free Trials

We may offer free trial periods. At the end of a trial, your account will be converted to a paid subscription unless you cancel before the trial expires. You will be notified before any charges are applied.

5.4 Refunds

Payments are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.

You agree not to use the Service to:

• Send spam, unsolicited messages, or emails that violate anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
• Impersonate others or misrepresent your affiliation with any person or entity
• Transmit malicious code, viruses, or any content designed to interfere with the Service
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Use the Service for any unlawful, fraudulent, or deceptive purpose
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without our written consent
• Exceed rate limits or use automated systems to overload the Service

We reserve the right to suspend or terminate access for violations of this section.

7.1 Calendly

WarmKit integrates with Calendly to receive webhook data about booking events. By connecting your Calendly account, you authorize WarmKit to receive and process this data in accordance with our Privacy Policy. Your use of Calendly is subject to Calendly's own terms and conditions.

7.2 Domain Email Integration

WarmKit uses DNS-authenticated domain sending to deliver reminder emails from team members' company email addresses. By connecting a company domain (via SPF, DKIM, and DMARC DNS records), the organization admin authorizes WarmKit to:

• Send emails on behalf of team members for the purpose of pre-call reminders
• Process replies to emails sent through the WarmKit platform

Organization admins may remove domain verification at any time by removing the DNS records or through WarmKit account settings.

8.1 Your Data

You retain all rights to the data you and your team input into or generate through WarmKit ("Customer Data"). This includes booking records, show-up metrics, email content, and analytics data. We do not claim ownership of your Customer Data.

8.2 License to Us

You grant us a limited, non-exclusive license to use, process, and display your Customer Data solely to provide and improve the Service. This license terminates when you delete your data or close your account.

8.3 Aggregated Data

We may use anonymized, aggregated data (which cannot identify you or your invitees) for analytics, benchmarking, and improving the Service. This aggregated data does not constitute Customer Data.

The Service, including its design, code, features, documentation, and branding, is the intellectual property of WarmKit and is protected by applicable copyright, trademark, and other laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for the actions, content, or data of third parties, including Calendly and Google

You agree to indemnify and hold WarmKit harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy rights of invitees whose data is processed through the Service
• Emails sent through the Service on behalf of your team members

14.1 By You

You may cancel your subscription and close your account at any time from your account settings. Cancellation takes effect at the end of the current billing period.

14.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or fail to pay applicable fees. We will provide notice where reasonably possible.

14.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted unless retention is required by law.

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.

• Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and WarmKit regarding the Service
• Severability — If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect
• Waiver — Our failure to enforce any provision of these Terms does not constitute a waiver of that provision
• Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction
